Terms of Service
These Terms of Service explain the rules for using the Northlake Learning website and purchasing our online courses, programs, and live webinars.
1) Acceptance of terms
By accessing or using this website (the āSiteā) or by purchasing or participating in any Northlake Learning online course, program, webinar, intensive, or workshop (collectively, the āLearning Servicesā), you agree to these Terms of Service (the āTermsā).
If you do not agree, do not use the Site and do not purchase the Learning Services.
Minimum age: you must be at least 16 years old to use the Site or submit a form. If you are under the age of majority where you live, you represent that you have permission from a parent or legal guardian to purchase and participate in the Learning Services.
2) Description of services
Northlake Learning provides education products delivered online, including structured courses and cohort-based programs, live webinars, and practical assignments. Some sessions may include invited specialists.
Program pages describe what is included, the format (live, on-demand, cohort, webinar), session length, approximate duration, and any prerequisites. Availability may vary by schedule window.
We may provide learning materials such as slide decks, worksheets, reading lists, templates, and recordings where stated. Access terms, if provided, are described on the relevant program page or enrollment confirmation.
3) User obligations
You agree to use the Site and Learning Services lawfully and respectfully. You must not:
- Use the Site for illegal activity, harassment, or abuse.
- Attempt to gain unauthorized access to systems, accounts, or data.
- Scrape, crawl, or extract Site content at scale without our written permission.
- Impersonate any person or misrepresent your affiliation.
- Upload or transmit malware, or interfere with the Siteās security features.
You are responsible for maintaining the confidentiality of any access credentials provided to you and for all activity that occurs under your account or access link.
4) Intellectual property
The Site and Learning Services, including text, graphics, videos, lessons, curriculum, assignments, templates, and brand elements, are owned by Northlake Learning Ltd. or licensed to us and are protected by copyright and other intellectual property laws.
Limited license: subject to these Terms and your payment of applicable fees, you receive a limited, non-exclusive, non-transferable license to access and use the Learning Services for your personal educational use only.
You may not copy, reproduce, modify, distribute, publicly perform, publish, share, resell, or create derivative works from our materials except where we explicitly allow it in writing.
5) Disclaimers
Educational purposes only: the Learning Services are provided for educational and informational purposes. They do not constitute legal, financial, medical, or professional advice.
No guarantees: we do not guarantee any particular outcomes, results, certifications, job placement, income, or career advancement. Individual progress depends on many factors including effort, background, and time available.
Invited specialists: experts may participate as invited specialists. Their views and statements are their own and are provided in an educational context.
āAs isā basis: the Site and Learning Services are provided on an āas isā and āas availableā basis. We make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
6) Limitation of liability
To the maximum extent permitted by applicable law, Northlake Learning Ltd. will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, arising out of or related to your use of the Site or Learning Services.
Cap on direct liability: to the maximum extent permitted by applicable law, our total liability for any claim arising out of or related to the Site or Learning Services will not exceed the amount you paid to us for the specific Learning Service giving rise to the claim during the three (3) months before the event that led to the claim.
Some jurisdictions do not allow certain limitations of liability. In that case, the above limitations apply to you to the greatest extent permitted by law.
7) Indemnification
You agree to indemnify and hold harmless Northlake Learning Ltd., its directors, officers, employees, contractors, and instructors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:
- Your misuse of the Site or Learning Services
- Your violation of these Terms
- Your violation of any law or the rights of a third party
8) Third-party links
The Site may reference third-party services used for delivery (for example, video hosting, conferencing, or payment processing). Any third-party websites or services are governed by their own terms and privacy policies.
We are not responsible for the content, security, or practices of third parties.
9) Privacy
Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data, including consent-based analytics and advertising cookies.

10) Governing law and jurisdiction
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Subject to the Dispute Resolution section below, you agree that courts located in Vancouver, British Columbia, Canada will have exclusive jurisdiction over any dispute arising from or related to these Terms or your use of the Site or Learning Services.
11) Dispute resolution
Informal resolution first: if you have an issue, you agree to contact us and try to resolve the dispute informally before filing a claim.
If we cannot resolve the dispute informally within a reasonable time, the dispute will be resolved by the courts described in the Governing Law and Jurisdiction section, unless applicable consumer protection laws require a different process.
12) Termination
We may suspend or terminate your access to the Site or Learning Services if you violate these Terms, misuse materials, or interfere with the Siteās security or operations.
Upon termination, the license granted to you ends and you must stop using and accessing our materials. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
13) Changes to these terms
We may update these Terms from time to time. If we make material changes, we will provide notice on the Site at least 14 days before the updated Terms take effect.
Continued use of the Site or Learning Services after the effective date of an update means you accept the updated Terms.
